"My company was a wholesale distributor of industrial fasteners which I founded in 1968. In late 1997 several well-financed acquirers approached me about buying the company and I realized that it was the right time to seriously consider selling. I spoke with three or four firms offering merger and acquisition services and after careful consideration, I chose Jim Mulick.

Jim professionally took me through the process of establishing and justifying a sales price. He developed a very professional memorandum which covered all aspects of my business. Our first serious candidate was a multinational company based in Germany. They came close to our requirements, but not close enough. Our second candidate would eventually be successful. Jim was able to negotiate a $1 million increase in the offer and within 2-days due diligence resumed and settlement went smoothly shortly thereafter.

In short, my experience with Jim was most beneficial to the sale of my company. He is truly a professional negotiator, with a quiet demeanor and uncommon persistence. I would feel comfortable calling on Jim again to carry me through another acquisition process.

The Business Sale Process

Ameridan's business sale advisory services span initiation through transaction structuring and closing. Although each engagement is unique, a mix of the following activities typically characterizes a business sale assignment:

Preparing the Business

The process starts with an in-depth review of the client company's strategy, reputation, product-market positioning, competitive position, financial condition & performance, and other factors that distinguish it in the marketplace. Based on this review, Ameridan provides guidance on valuation under a variety of probable transaction structures. Ameridan also provides advice on steps to improve the value of the business while increasing the probability of a successful transaction. These suggestions typically cover a wide range of issues including accounting policies, management practices, inventory management, and human resource issues.

Identification, Screening
and Contacting of Potential Acquirers

Ameridan identifies the strategic buyers and private equity groups that have a demonstrable interest in acquiring the company. In many cases, potential acquirers include both domestic and international entities. Ameridan assesses each potential buyer's acquisition history and strategy, as well as financial position and ability to pay a significant premium. The key is to enter into discussions with a limited number of serious, well-financed parties.

Preparation of Confidential Information

Under client direction, Ameridan prepares, presents, and manages all confidential information provided to potential acquirers. Ameridan prepares a series of customized packages of information for each potential acquirer, taking into consideration the stage of the discussions as well as the potential acquirer's competitive position relative to the client company.

Presentations to Key Potential Acquirers

Ameridan is the main liaison between the client company and potential acquirers. Dr. Mulick communicates with each potential acquirer's key decision-makers, presenting the company's unique capabilities, competitive advantages and financial performance.

Negotiating Strategy & Transaction Structuring

Ameridan works closely with the client and other key advisors on the deal team to set a negotiation strategy and structure each substantive aspect of the transaction.

Evaluation of Purchase Proposals

Ameridan assesses each purchase proposal relative to the client's strategic and financial objectives. Each proposal is also assessed in light of past transactions in the industry, and previous transactions consummated by each potential acquirer.

Closing

Ameridan assists the client's legal counsel as needed to ensure; (1) all documents accurately reflect the deal that was negotiated; and (2) the closing is executed properly and expeditiously.
